WKA Board of Trustees -- Conference Call

Minutes

The WKA Board of Trustees met by conference call on Tuesday, July 13, 2010.

Those in attendance were:

Bill Kassy – District 5 Trustee
John Ferris – District 8 Trustee

Johnny Bartlett – Vice President 4-cycle
Missy Nelson Tate – Treasurer
Bobby Gettys – District 3 Trustee

The meeting was called to order by WKA Vice President – 2-cycle, Dan Stowell, at 8:10 PM EDT. He reported that President Dresang would join the call momentarily and that Trustee Gettys was driving a rental truck from Wisconsin to Chapel Hill, NY and would not be available.

The trustees approved the minutes of the May 27 and June 28 conference calls electronically, and they have been posted on the web site.

Road America Manufacturer’s Cup and Road Race Events
Stowell gave a report from WKA Executive Director Gilder regarding the previous weekend’s dual event at Road America. Although entries were down, primarily in Road Race, the event went well. There was good coordination and cooperation among the Road America staff, WKA race officials and Badger Kart Club workers and volunteers.

WKA settled all financial obligations with Road America and Badger Kart Club at the end of the weekend. Road America’s management was happy with how well the events ran this year and has already invited WKA back for 2011. WKA plans to do a comparison of the 2009 and 2010 events to better assess their financial performance.

Trustees Kassy and Ferris agreed with Gilder’s report on how well the events went, and Kassy noted that it appeared that a higher portion of the work was done by volunteers.

Suspension Appeal Committees
The next topic was a discussion about how to structure the appeals process from the six members who were suspended on June 22. After long and thoughtful consideration about the options, and with advice from WKA’s legal counsel, the trustees decided to set up appeals committees. The committee approach is allowed under WKA’s code of regulations, SECTION VI: Suspension and Termination of Members. Each suspended member will be heard separately on conference calls scheduled for Monday, Tuesday, and Wednesday, the week of July 19. The committees will be made up of at least one trustee and one officer. The suspended members will be given some latitude in picking the trustee(s) and officer(s) and possibility of another WKA member from a list provided to them. President Dresang will notify the suspended members of the plan by E-mail on Wednesday, July 14, 2010.

Replacement Trustees
Stowell reported on his discussions with potential replacement trustees. At least one member has been identified in each district, but the trustees agreed that no decision should be made until after the appeal hearings have been conducted, and the appeal committees have reached their decisions.

President’s Report
President Dresang concluded the meeting with a report on the condition of a competitor who was injured at Road America. He has been keeping in touch with the family.

He also reported that the engine in WKA’s red Chevrolet diesel truck is a complete loss. As a result, WKA rented a truck to haul the equipment needed for the next national event at Chapel Hill, New York, and Bobby and Carol Gettys are driving the truck to New York right now.

There is some good news regarding the truck. According to the Chevrolet dealership where the truck is located right now in Wisconsin, there may be a new engine available under warranty for a $1,000 deductible. If this is the case, WKA can avoid the $40,000 to $50,000 cost of a new vehicle.

Next Conference Call
The trustees agreed to meet the week of July, 26 to review the results of the appeals committees.

There being no more business, the conference call was adjourned at 9:20 PM
